Plain English Summary

1. Your Infrastructure: You host this software on your own Cloudflare account. You are responsible for any Cloudflare terms or billing.

2. Zero-Knowledge: We cannot see your data, and we cannot recover your Master Password if you lose it.

3. No Liability for Assets: Domains are valuable assets. If a bug, misconfiguration, or downtime causes you to miss a renewal or lose a domain, mgr.domains is not financially liable.

These Terms of Service ("Terms") govern your access to and use of the mgr.domains software, interface, and associated licensing proxy (collectively, the "Service"). By setting up or using the Service, you agree to be bound by these Terms.


1. Architecture and Hosting Responsibilities

Unlike traditional SaaS platforms, mgr.domains operates on a "Bring Your Own Keys" (BYOK) architecture. The core application logic and database (the "Workspace") are deployed directly to your personal Cloudflare account.

1.1 Third-Party Terms: By utilizing the Service, you are establishing a direct relationship with Cloudflare, Inc. You are solely responsible for adhering to Cloudflare's Terms of Service, maintaining your account standing, and covering any infrastructure costs associated with your use of their platform.

1.2 Uptime and Availability: Because the database and backend logic reside on your personal infrastructure, mgr.domains does not guarantee the uptime, availability, or performance of your Workspace.

1.3 Third-Party API Usage: The Service acts as an orchestrator for your connected third-party APIs (e.g., GoDaddy, Namecheap, Afternic, OpenAI). You are solely responsible for managing your API keys, monitoring your usage, and complying with the rate limits and Acceptable Use Policies of those providers. mgr.domains is not liable for any API bans, account suspensions, or unexpected billing charges incurred through your automated or bulk usage of the Service.

1.4 Central Proxy Communication: While your database and domain data reside strictly on your personal Cloudflare infrastructure, the Service requires periodic communication with our central authentication proxy (auth.mgr.domains). This connection is strictly utilized to perform version health checks, deliver Over-The-Air (OTA) infrastructure updates, and validate license tiers. You acknowledge that intentionally blocking or modifying these operational requests may degrade software functionality or restrict access to premium features.

2. Security and Account Recovery

2.1 Zero-Knowledge Protocol: The Service is designed so that your encryption keys (Master Password) and external API keys (e.g., GoDaddy, Namecheap) are never transmitted to our servers in plaintext.

2.2 Loss of Credentials: Because we possess no knowledge of your Master Password, we cannot perform account recoveries, password resets, or data extractions. You are solely responsible for safely storing the "Emergency Kit" PDF generated during setup. Loss of both your Master Password and Emergency Kit will result in permanent, irrecoverable data loss.

3. Licensing and Usage

3.1 Free Tier (Phase 1): The core workspace infrastructure and basic portfolio management UI are provided free of charge. Use of the Free Tier still requires the software to securely ping our central proxy upon initialization to register active installations and verify software versions.

3.2 Paid Licenses: Access to advanced features (e.g., AI Advisor, Bulk Pricing Engines, Advanced Exporting) requires a valid license (such as the Founder License), processed securely via our merchant of record (Lemon Squeezy).

3.3 License Validation & Restrictions: We enforce licensing dynamically. The software routinely validates your hashed Client ID against our central proxy (auth.mgr.domains) to confirm your tier status and prevent abuse. You may not reverse-engineer, decompile, or bypass this licensing proxy. You may not resell or redistribute the proprietary frontend interface.

4. Limitation of Liability (Domain Assets)

Domain names are highly sensitive and financially valuable digital assets. You explicitly acknowledge that software can contain bugs or experience synchronization delays. The Service utilizes local caching and background queues to manage large portfolios; therefore, the interface may occasionally lag behind real-time data.

To the maximum extent permitted by law, mgr.domains and its creators shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of a domain name due to missed renewals.

  • Financial losses due to incorrect pricing syncs to marketplaces.

  • Unauthorized domain transfers caused by compromised local environments or leaked Master Passwords.

You agree to use the Service as a secondary management tool. The official registrar or marketplace platform remains the ultimate "Source of Truth" for asset status, DNS configurations, and pricing. You must maintain primary oversight of your assets directly via your registrars.

5. Modifications

We reserve the right to modify these Terms at any time. We will provide notice of significant changes via our interface or community channels (e.g., Changelog). Your continued use of the software after such changes constitutes your acceptance of the new Terms.
